Service disclosures.

OffSell provides a managed confidential sale service to qualifying United Kingdom businesses. That service may include business qualification, preparation of a confidential business profile, identification of appropriate buyers, confidential buyer approaches, buyer qualification, NDA-controlled disclosure, confidential introductions, offer management, Heads of Terms and transaction support through completion.

Fees for the UK service: there is no upfront engagement fee for qualifying businesses. A Heads of Terms payment becomes payable when Heads of Terms are signed and is credited against the final fee; it is not refunded if the transaction later fails. The completion fee is 3.85% of transaction value, subject to a minimum £15,000 + VAT. This is not a success-fee-only arrangement.

OffSell does not provide legal, tax or accounting advice. Third-party costs, including legal fees and due diligence, are engaged and paid by the client directly.

Partner firms are independent businesses unless expressly agreed otherwise in writing. A partner relationship with OffSell does not create a franchise, agency, employment relationship, joint venture or partnership in the legal sense, and does not confer authority to act on behalf of OffSell.

Each partner is responsible for its own regulatory position, licensing, professional indemnity cover and client relationships in its own jurisdiction.

OffSell does not claim that a business sale can be completely anonymous. What we provide is controlled disclosure: the business is not publicly identified, confidential information is released progressively, buyers can be qualified before disclosure, NDAs can be in place before identifying information is released, and the seller retains control over disclosure.

Any business descriptions shared by OffSell are deliberately non-identifying and are not offers, invitations to treat, or representations about the underlying business. Information about a specific business is released only under agreed confidentiality terms.

BusinessWanted.com is a separate and independent brand. Links between OffSell.com and BusinessWanted.com do not make either brand a division, agent or sub-brand of the other, and each is responsible for its own services and content.
